This purchase order and any parts thereof is expressly subject to P&G's terms & conditions available on www.pgsupplier.com ("P&G T&C") and shall be governed by and interpreted for any and all purposes in accordance with the P&G T&C. Seller represents and warrants that (I) seller has reviewed and accepted P&G T&C, (II) P&G T&C shall prevail over any general terms and conditions of trade, including but not limited to seller's general terms and conditions and (III) performance against this purchase order constitutes seller's unconditional acceptance of P&G T&C. In the event of any conflict or inconsistency between the P&G T&C and the terms of any other P&G original instrument containing terms and conditions, the terms of such original instrument shall prevail.
